Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of Coding Plan ("the Service"), a prepaid API gateway for agentic AI coding operated by New Information Technology Co., Ltd. ("ModelHarbor", "we", "us") at coding.modelharbor.com and its APIs. By using the Service you agree to these Terms. Breaching these Terms may result in suspension or termination of access.
Coding Plan offers access to large language models for agentic AI coding at approximately 10× lower per-token pricing than the model providers' standard published API rates. You prepay credit and pay only for the tokens you use; there is no subscription and no recurring charge.
You must be at least 18 years old, agree to these Terms, and have legal authority to bind yourself or your company. We may modify these Terms at our discretion; continued use after changes constitutes acceptance.
2. The Service
Coding Plan is a prepaid API gateway for agentic AI coding. There is no subscription and no recurring charge. You prepay credit (a topup) and consume API usage against that credit. Pricing varies by model; fees are deducted from your prepaid balance. Access may be suspended if your balance falls below the required level.
3. Intended use — Agentic AI Coding only
The service is provided exclusively for agentic AI coding. By using the service you represent that you will use it only for that purpose. Technical enforcement of usage category is handled by request-body rules at the proxy; use outside this category may be rejected. We do not store your prompt content (see the Privacy Policy).
4. Topups and credit
- The minimum topup is $10.00 (or the equivalent in the deployment's settlement currency).
- Each topup creates a credit bucket that expires 30 days after its creation. Expiry is per-bucket and rolling, not calendar-month aligned.
- Your spendable balance is the sum of all non-expired buckets.
- Usage is deducted from the oldest non-expired bucket first (FIFO), crossing bucket boundaries when a bucket is exhausted.
5. Pricing
- Coding Plan offers per-token pricing at approximately 10× lower than the model providers' standard published API rates. The exact multiple varies by model and token class.
- Prices are set per model, per token class: input (cache hit), input (cache miss), and output.
- A peak period applies daily from 10:00 to 17:00 UTC+7, during which the per-token price is multiplied (×2). Outside the peak period the base price applies. The peak window is a half-open interval: a request starting at exactly 17:00:00 UTC+7 is billed at the offpeak rate.
- The price applicable to a request is determined at the moment the request starts and does not change if the peak boundary is crossed mid-stream.
- We may change per-model pricing at any time. Price changes apply only to requests starting after the change.
6. Metering and charging
- A request is charged once, when the stream completes, using the token counts reported by the upstream and the price snapshot captured at request start.
- If you do not have a positive balance when a request starts, the request is rejected (HTTP 402). A request that has started is allowed to finish even if balance is exhausted during the stream.
- The service is prepaid. We never create debt. In the narrow case where a charge cannot be collected (for example, all your buckets expired during a long request), the charge goes uncollected and you owe nothing.
7. Expiry and forfeiture
Any credit remaining in a bucket at its 30-day expiry is forfeited to us. Forfeited credit is non-refundable.
8. Refunds
- Unused balance is refundable at any time before a bucket's 30-day expiry. "Unused" means the bucket's current remaining balance after your consumption — consumed credit is not refundable.
- After a bucket's expiry, its remaining credit is forfeited and is no longer refundable. The refund window is the bucket's 30-day life; there is no separate refund period.
- Refunds are returned via the original payment method (Omise). You may also request a refund of a mistaken topup within 7 days of the topup, consistent with our general refund policy.
9. API keys
- You may hold up to two API keys at a time. Each key may be renewed at any time.
- Renewing a key issues a fresh secret and invalidates the old secret immediately, with no grace period.
- Keys are shown to you exactly once. You are responsible for keeping them secure and for all activity under your account. We cannot recover a lost key; you must renew it.
10. Models
- The models available are listed at /v1/models. You request a model by its published name.
- We may add, disable, or remove models at any time. Each open-source model carries its own license terms that you must follow.
11. No prompt storage
We do not store your prompt content or the model's output content. Your inputs and outputs pass through our servers in memory only and are discarded immediately. See the Privacy Policy.
12. Your account
- You are responsible for maintaining the confidentiality of your account credentials and API keys and for all activity under your account.
- You may close your account at any time. Unused, non-expired balance is refundable on closure under the same rule as Section 8. Expired balance is not refundable. Account data may be retained for 30 days after closure for fraud prevention, then deleted.
13. Required conduct
You must comply with all applicable laws, rules, and regulations while using the Service.
14. Prohibited conduct
You must not:
- Use the Service to gain an unfair competitive advantage to create a competing service.
- Reverse engineer or decompile the Service (except open-source elements).
- Remove copyright or proprietary markings.
- Bypass security or authentication measures, or overload, flood, or spam the Service.
- Probe or test the Service for vulnerabilities.
- Store or transmit malware, viruses, or other harmful code.
- Use the Service competitively against us without written consent.
- Defraud us or others, or use unauthorized accounts.
- Impersonate individuals or entities.
- Use the Service for illegal, fraudulent, or deceptive purposes.
- Interfere with the Service's functioning or violate network policies.
15. Suspension or termination of access
We may suspend or terminate your account at our sole discretion, with or without notice, for any or no reason. We are not liable for such suspension or termination.
16. Information you submit
You retain intellectual property rights over your submissions, which remain private. You grant us a limited right to process your submissions through the Service. We will not store, sell, or train on your submissions. You warrant that you have all necessary rights for your submissions and agree to be responsible for any royalties, fees, or damages arising from them.
17. Intellectual property
We own all rights to the website, Service, content, interfaces, graphics, trademarks, logos, and other materials (collectively "ModelHarbor IP"), except open-source elements and user-generated content. You receive a non-exclusive, non-transferable, revocable, limited license to access and use ModelHarbor IP for using the Service. Feedback you provide grants us a worldwide, royalty-free, irrevocable, perpetual license to use and incorporate it.
DMCA
The DMCA provides recourse for copyright owners. Notices and counter-notices should be sent to info@modelharbor.com. Knowingly false claims may result in liability for damages and attorneys' fees.
18. Links and third-party content
We may host or link to third-party content for convenience. Such content is not endorsed or controlled by us. You access third-party content at your own risk; our policies no longer apply when you navigate away.
19. Warranties and liability
Disclaimer of warranties
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We and our suppliers disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee the Service will be error-free, uninterrupted, secure, or operating at any particular speed.
Exclusion of liability
We and our suppliers are not liable for indirect, consequential, incidental, special, or punitive damages, or losses from business interruption, lost profits, or reputational harm, even if advised of the possibility.
Limitation of liability
Our aggregate liability is capped at the total amount you paid us in the 12 months preceding the first incident. If you paid no fees, liability is limited to $1,000.
20. Indemnification
You agree to indemnify and hold harmless us, our suppliers, shareholders, partners, employees, contractors, agents, and affiliates against third-party claims arising from: (1) use of the Service, (2) content you submit, (3) your conduct, (4) breach of these Terms, and (5) violation of law or third-party rights. You are not required to indemnify for claims resulting exclusively from our own negligent conduct.
21. Legal disputes and arbitration
Disputes are resolved through arbitration in Nonthaburi, Thailand, before one arbitrator, administered by JAMS under its Comprehensive Arbitration Rules and Procedures with Expedited Procedures. Judgment may be entered in any court with jurisdiction. Arbitration is conducted on an individual basis — both parties waive class action rights. Either party may seek relief in small claims court in Nonthaburi for disputes within that court's jurisdiction.
22. General
- These Terms are governed by Thai law without regard to conflict of law provisions.
- The UN Convention on Contracts for the International Sale of Goods is expressly excluded.
- Invalid provisions do not affect the enforceability of the remaining provisions.
- Rights may only be waived by a written document signed by both parties.
- You may not transfer your rights without our written consent; we may freely assign.
- Our relationship is that of independent contractors. No third-party beneficiary rights are created.
- We are not liable for delays or failures from conditions outside our reasonable control (force majeure).
- We may seek injunctive relief for breaches causing irreparable harm.
